These Terms of Service (the “Terms”) form a binding agreement between you and Kinga Corporation SASU (Société par actions simplifiée unipersonnelle (SASU)), which operates the ClocheVerse marketplace (the “Platform”). By creating an account, listing on the Platform, placing an order or booking a service, you accept these Terms. If you do not accept them, do not use the Platform.
1. Who may use ClocheVerse
ClocheVerse is a business-to-business platform exclusively. Every user acts within their trade, business, craft or profession — as a hospitality business, supplier, service provider, agency or hospitality professional. It is not intended for consumers. Consumer distance-selling rights, including the 14-day withdrawal right and consumer mediation schemes, do not apply.
- You must be at least 18 years old and legally able to enter into contracts.
- You must provide accurate company information and keep it up to date, and you confirm that you are authorised to act for the business you register.
- One person or business may not operate multiple accounts to evade restrictions.
2. Our role: intermediary only
Kinga Corporation SASU operates the Platform as a technical intermediary and hosting provider for listings and communications. We are not the seller of the products listed, and we are not the provider of the services or staffing offered.
- Contracts for products are concluded directly between the buyer and the seller. Contracts for services and staff bookings are concluded directly between the buyer and the service provider.
- Sellers and service providers remain solely responsible for their listings, descriptions, images, prices, stock, taxes, invoicing, licences, regulatory and safety compliance, customs and export/import obligations, delivery and the performance of the service.
- We do not guarantee the quality, legality, safety or availability of any listing, or the truth or accuracy of any user content.
3. Products and services are different
The Platform supports two clearly distinct transaction types:
- Physical product orders — wholesale goods that are packed, shipped and delivered by the seller, with shipping costs, transit times, customs duties and delivery obligations attached to the goods.
- Service bookings — services, projects, subscriptions and hospitality staff shifts performed at a location or remotely at an agreed date and time, with availability, minimum shift, travel area and cancellation rules set by the provider.

4. Accounts, verification and business identity
- Accounts may be subject to business verification. We may request company documents, registration or tax identifiers and proof of identity or authority before a profile or listing becomes publicly visible.
- A “verified” marker means that we received and reviewed documents that appeared consistent. It is not a guarantee of solvency, quality, licensing or performance.
- Until verification is complete, you may save your profile and listings privately; they will not be published in public marketplace surfaces.
- You are responsible for keeping your credentials confidential and for all activity under your account. Tell us immediately about any unauthorised use.
5. Payments, fees and Stripe Connect
- Payments and payouts are processed by Stripe, including Stripe Payments Europe, Limited (Ireland) and, for regulated payment services, Stripe Technology Europe, Limited, authorised in Ireland. Sellers and service providers must complete Stripe Connect onboarding, accept the applicable Stripe agreements and keep their payout details valid.
- Kinga Corporation SASU does not hold client funds as a payment service provider. Money flows through Stripe according to its terms.
- The Platform charges a commission of 5% on transactions. Additional service fees may apply to specific transaction types and are displayed before an order or booking is confirmed. Fees may be deducted from payouts or collected on top of the order value.
- Prices are set by sellers and providers and are shown hors taxes (HT / net), unless a listing explicitly states otherwise. Taxes, including VAT, are added or shown in accordance with the seller’s country, the buyer’s country and applicable law. Each seller or provider is responsible for charging and remitting the correct taxes and issuing compliant invoices.
6. Your content and intellectual property
- You keep ownership of the content you upload (listings, images, logos, descriptions, documents, messages, reviews).
- You grant Kinga Corporation SASU a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, adapt for formatting, display and distribute that content for the purpose of operating, promoting and improving the Platform, for the duration of your use plus a reasonable archival period.
- You confirm that you hold the rights to the content you upload and that it does not infringe any third-party trademark, copyright, design right or other right.
- The ClocheVerse name, logo, interface, texts, database structure and software are protected and may not be copied, scraped, framed or reused without our written permission.
- If you believe content on the Platform infringes your rights, contact us at legal@clocheverse.com with enough detail to identify the content and your right; we will review and may remove it.
7. Prohibited conduct
The Acceptable Use and Prohibited Products Policy forms part of these Terms. In particular you must not: publish false, misleading or infringing listings; sell prohibited or unlicensed goods; move transactions off-platform to avoid fees; manipulate reviews, ratings or verification; harvest or scrape data; probe or overload our systems; impersonate others; or use the Platform for fraud, money laundering or sanctioned trade.
8. Moderation, suspension and termination
- We may remove or hide any listing, review, message or profile content that we reasonably believe breaches these Terms, our policies or applicable law, or that creates risk for other users.
- We may restrict features, pause payouts pending investigation, suspend or terminate an account — with notice where reasonably possible, and immediately in cases of fraud, illegal activity, security risk or serious breach.
- You may close your account at any time from Settings. Closing an account does not cancel orders or bookings already in progress, or obligations that have already arisen.
- If you believe a decision was wrong, you can contest it by replying to the notice or opening a support ticket; we will review the case and answer.
9. Disputes between users
Disputes about a product order or a service booking are, in the first place, between the buyer and the seller or provider. We provide messaging, order records and a dispute process described in the Refund, Cancellation and Dispute Policy and may assist, mediate or take a decision on refunds where we hold the relevant payment controls. We are not an arbitrator and our involvement does not make us a party to the underlying contract.
10. Availability and changes
We aim to keep the Platform available but do not promise uninterrupted service. We may change, suspend or discontinue features, and we may update these Terms. Material changes will be announced on the Platform or by email before they take effect; continuing to use the Platform after that date means you accept the new version. Each version is recorded with a version number and date.
11. Limitation of liability
- The Platform is provided “as is”. To the extent permitted by law, we exclude implied warranties regarding listings, users, third-party content and results obtained through the Platform.
- We are not liable for the acts or omissions of sellers, buyers, service providers or staff, including non-delivery, defective goods, poor performance, no-shows, late payment or non-compliance with regulations.
- To the extent permitted by law, we are not liable for indirect or consequential loss, including loss of profit, revenue, business, goodwill, data or anticipated savings.
- Where our liability cannot be excluded, it is limited, for all claims arising in any 12-month period, to the total platform fees you paid to us in that period, or EUR 500 if higher and no fees were paid.
- Nothing in these Terms limits liability that cannot be limited under French law, including for fraud, wilful misconduct or gross negligence, or for death or personal injury.
12. Indemnity
You will hold Kinga Corporation SASU harmless against third-party claims, penalties and reasonable costs arising from your listings, your content, the goods or services you supply or buy, your tax or regulatory obligations, or your breach of these Terms.
13. Personal data
How we handle personal data is described in the Privacy Policy and the Cookie Policy. Where buyers, sellers and providers exchange personal data of their own staff or customers, each acts as an independent controller for its own processing.
14. Governing law and jurisdiction
These Terms are governed by French law. Unless a mandatory rule provides otherwise, the courts of Paris, France have exclusive jurisdiction over any dispute between you and Kinga Corporation SASU. Before starting proceedings, the parties will attempt to resolve the matter amicably by contacting each other in writing.
15. Miscellaneous
- If a clause is found invalid, the rest of the Terms remain in force.
- You may not assign these Terms without our consent; we may assign them to a successor entity, including upon completion of the incorporation of Kinga Corporation SASU.
- These Terms, together with the policies they reference, are the entire agreement between us about the Platform.
- The English version prevails; translations are provided for convenience.
