These Seller Terms apply to suppliers who list and sell physical products on ClocheVerse. They add to the Terms of Service. Kinga Corporation SASU provides the marketplace; you are the seller and the contracting party towards the buyer.
1. Eligibility and verification
- You must be a legally registered business, authorised to sell the products you list in the markets you ship to, and able to issue valid invoices.
- You must complete business verification and Stripe Connect onboarding before your storefront and listings go live. Unverified profiles and listings can be saved but stay private.
- You must keep company, tax, contact and payout information accurate, and inform us of changes in ownership, licences or insolvency proceedings.
2. Listings
- You are responsible for the accuracy of titles, descriptions, specifications, ingredients or materials, certifications, images, stock levels, minimum order quantities, lead times and prices.
- Images and text must be yours or properly licensed, and must show the actual product being sold.
- Listings must comply with the Acceptable Use and Prohibited Products Policy and with all product safety, labelling, hygiene, food-contact, electrical, textile and packaging rules that apply.
- You must hold the licences and certificates required for regulated goods (for example food, beverages containing alcohol, cosmetics, disinfectants) and produce them on request.
- We may reject, hide or remove a listing that appears inaccurate, unsafe, infringing or non-compliant.
3. Pricing, taxes and invoices
- You set your prices, shipping rates, zones and handling times. Unless a listing explicitly states otherwise, prices must be shown hors taxes (HT / net).
- You are solely responsible for determining, charging, collecting and remitting VAT and any other applicable taxes and duties, for intra-EU and export documentation, and for the correct tax treatment of cross-border sales in accordance with the seller’s country, the buyer’s country and applicable law.
- You must issue a compliant invoice to the buyer for every order, in the form required by your jurisdiction.
- Prices offered on ClocheVerse must be genuine. Displayed prices must include all mandatory charges you control, other than clearly stated shipping, taxes and duties.
4. Order handling and delivery
- Accept or decline orders promptly, keep stock accurate and cancel only for good reason. Repeated late dispatch, silent cancellations or stock-outs may lead to restrictions.
- Pack goods appropriately, ship within your published handling time, and add tracking information to the order in your workspace so the buyer can follow the shipment.
- Risk and title pass according to the delivery terms you publish. You remain responsible for claims about goods damaged in transit under those terms.
- Handle non-conformity, shortage and damage claims fairly and within the timeframes in the Refund, Cancellation and Dispute Policy.
5. Payouts and platform fees
- Payouts are made through Stripe Connect to the account you onboard. You must accept the Stripe connected-account agreement and keep identity and bank details valid; incomplete onboarding blocks payouts. Payments for users in the EEA are processed by Stripe Payments Europe, Limited (Ireland), and regulated payment services may be provided by Stripe Technology Europe, Limited, authorised in Ireland.
- Kinga Corporation SASU charges a 5% commission on transactions. Additional service fees may apply to specific transaction types. Applicable rates are shown in your workspace before you publish and before each order is confirmed, and may be deducted from the payout.
- We may withhold or delay a payout while an order is disputed, where fraud or a chargeback is suspected, or where required by law, and may offset refunds, chargebacks and fees against future payouts.
- Fee changes will be notified in advance; continuing to sell after the effective date means you accept them.
6. Intellectual property
You keep your rights in your brand and content and grant Kinga Corporation SASU the licence described in the Terms of Service so we can display and promote your listings. You must not list counterfeit goods or use another company’s trademarks, product photos or designs without authorisation. Repeat infringement leads to removal of listings and account termination.
7. Prohibited seller conduct
- Fake listings, bait pricing, undisclosed fees, or shipping different goods than ordered.
- Diverting buyers off-platform to avoid fees, or refusing confirmed orders to renegotiate price.
- Manipulating reviews, ratings, favourites or verification status.
- Using buyer personal data for anything other than fulfilling the order and legal record-keeping.
8. Suspension, content removal and termination
We may unpublish a storefront, hide products, restrict features, pause payouts pending investigation, or suspend and terminate a seller account for breach of these Seller Terms, our policies or the law, as set out in the Terms of Service. You will be told the reason where we may lawfully do so, and you can contest the decision through support.
9. Liability and indemnity
You are liable to the buyer for the goods you sell, including product safety and regulatory compliance, and you will hold Kinga Corporation SASU harmless against third-party claims, penalties and reasonable costs arising from your listings, your goods, your taxes or your breach of these Seller Terms. Our liability towards you is limited as set out in the Terms of Service.
