These terms apply to service providers, agencies and hospitality staff who offer services, projects, subscriptions or shifts on ClocheVerse. They add to the Terms of Service. Kinga Corporation SASU provides the marketplace; you are the provider and the contracting party towards the buyer.
1. Independent status
- You act as an independent professional or company. Nothing on the Platform creates an employment relationship, agency, partnership or joint venture between you and Kinga Corporation SASU.
- You are responsible for your own registration, social contributions, insurance, tax returns and, where you engage others, for their status, pay and working conditions.
- You must hold the right to work and to perform the service in each location where you accept bookings, and any licence, permit, food-handling, hygiene or safety certificate required.
2. Verification and going live
- Your provider profile becomes publicly visible only after business verification. Before that you can save everything privately.
- A service listing goes live only when it is complete and active. A staff availability profile goes live only when pricing, calendar availability, travel area, minimum shift and cancellation rules are all set.
- Payouts require completed Stripe Connect onboarding, including identity checks.
3. Listings, availability and pricing
- Describe your service accurately: scope, what is included and excluded, duration, languages, qualifications, equipment provided, travel area and any additional costs.
- Keep your calendar, weekly schedule and overrides up to date. Availability shown on the Platform must be availability you can honour.
- You set your rates, minimum shift length, travel radius and cancellation rules. Unless explicitly stated otherwise, rates are shown hors taxes (HT / net). Taxes, including VAT, are added or displayed in accordance with the provider’s country, the buyer’s country and applicable law. The Platform may add a service fee, disclosed to the buyer before confirmation.
- Rates must include everything mandatory that you control; travel or overtime supplements must be disclosed in the listing, not requested after acceptance.
4. Accepting and performing bookings
- Respond to booking requests promptly. Accepting a request creates a binding commitment for the agreed date, time and place.
- Arrive on time, appropriately presented and equipped, and perform with the standard of skill and care expected of a professional in the hospitality industry.
- Do not subcontract or send a replacement without the buyer’s agreement recorded on the Platform.
- Follow the venue’s lawful health, safety and hygiene rules, and respect confidentiality about the buyer’s business, guests and data.
- If you cannot attend, cancel as early as possible through the Platform. No-shows and late cancellations affect your rating and may lead to restrictions or account suspension.
5. Payouts, fees and invoices
- Payment is processed by Stripe and paid out to your connected account after the booking milestone shown at confirmation. Payments for users in the EEA are processed by Stripe Payments Europe, Limited (Ireland), and regulated payment services may be provided by Stripe Technology Europe, Limited, authorised in Ireland.
- Kinga Corporation SASU charges a 5% commission on transactions. Additional service fees may apply to specific transaction types. Fees may be deducted from your payout.
- You are responsible for VAT and any other taxes on your services, and for issuing a compliant invoice to the buyer where required.
- We may pause a payout during a dispute or suspected fraud, and offset refunds and chargebacks against future payouts.
6. Cancellations and disputes
Cancellation deadlines, refund tiers, no-show handling and the dispute process for bookings are set out in the Refund, Cancellation and Dispute Policy. Service bookings follow different rules from product orders.
7. Content, IP and reviews
- You keep the rights to your photos, portfolio and texts and grant us the licence described in the Terms of Service to display and promote them.
- Only publish images and references you are entitled to use, and do not disclose a client’s confidential information in a portfolio without consent.
- Do not solicit, trade or incentivise reviews, and do not retaliate against honest reviews.
8. Prohibited provider conduct
- Misrepresenting qualifications, certifications, insurance or right to work.
- Taking a confirmed booking off-platform to avoid fees, or demanding cash on site.
- Discrimination, harassment or unsafe behaviour at a venue.
- Accepting overlapping bookings you cannot perform.
9. Suspension and termination
We may hide a listing or availability profile, restrict features, pause payouts, or suspend and terminate your account for breach of these terms, our policies or the law, as described in the Terms of Service, with an opportunity to contest the decision.
10. Liability and indemnity
You are liable to the buyer for the services you perform, and you will hold Kinga Corporation SASU harmless against third-party claims, penalties and reasonable costs arising from your services, your professional status, your taxes or your breach of these terms. Our liability towards you is limited as set out in the Terms of Service. We strongly recommend that you maintain professional liability insurance.
